These Terms of Service ("Terms") govern your use of the Stout registry service and the stout.io website (collectively, the "Service") operated by Stout ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Accounts
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information and keep it up to date.
You must be at least 16 years old to create an account. By creating an account, you represent that you meet this requirement.
2. Use of the Service
The Service provides a source-based package registry with built-in validation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal development purposes.
3. Acceptable Use
You agree not to:
- Use the Service to distribute malware, malicious code, or packages intended to harm others
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to violate any applicable law or regulation
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to scrape, crawl, or extract data from the Service beyond normal registry operations
- Resell, sublicense, or redistribute the Service without our written consent
4. Packages and Content
The Service builds packages from publicly available source code. We do not claim ownership of the source code or the resulting artifacts. You are responsible for ensuring that your use of packages obtained through the Service complies with their respective licenses.
AI Agent Reviews and other analysis features are provided for informational purposes. While we strive for accuracy, automated analysis may not catch every issue. You remain responsible for the security and compliance of your software.
5. Payment and Billing
Certain features of the Service require a paid subscription. Fees are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your selected plan. We reserve the right to change pricing with 30 days' notice.
If payment fails, we may suspend access to paid features. Free tier access will remain available subject to usage limits.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime or service interruptions.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
8. Intellectual Property
The Service, including its design, features, and documentation, is owned by Stout and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
9. Limitation of Liability
To the maximum extent permitted by law, Stout shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.
Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold Stout harmless from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
11. Termination
You may terminate your account at any time by contacting us at hello@stout.io. We may suspend or terminate your access if you violate these Terms, with notice when practicable.
Upon termination, your right to use the Service ceases immediately. We may retain certain information as required by law or for legitimate business purposes.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
